Management Approach

Sansiri is devoted to upholding the principles of effective corporate governance to enhance the Company’s operations through transparency and efficiency.

The Board of Directors is carefully selected and appointed based on their knowledge, capabilities, and relevant experience. This ensures the appropriate qualification of the Board in alignment with the Company’s corporate governance principles. Furthermore, Sansiri is committed to promoting Board diversity and maintaining a policy free from discrimination based on gender, race, or other differences.

The Company has established a Corporate Governance and Sustainability Committee responsible for overseeing and promoting sustainable operations. This encompasses the integration of sustainability management approaches across all business units and the establishment and review of policies and criteria to Corporate Governance Policy, Code of Conduct, and various guidelines in accordance with these principles. This framework establishes a corporate governance structure that emphasises transparency, checks and balances, and the disclosure of verifiable information. This policy is applicable at all levels of the organisation, from the Board of Directors and executives to employees, ensuring compliance with laws, regulations, and standards issued by relevant government agencies and regulatory bodies.

Sansiri has established a Corporate Governance and Code of Ethics Handbook, which provides essential guidelines for business operations and decision-making for directors, executives, and employees. This handbook serves as the foundation for best practices within the organisation, in accordance with the Corporate Governance and Business Ethics Policy. Additionally, Sansiri maintains an Internal Control system focused on managing internal work processes and evaluating compliance with the Code of Conduct across various units (Internal Audit) based on the Company's established criteria. Assessment results are reported to both the Audit Committee and the Corporate Governance and Sustainability Committee. The handbook and related policies are reviewed and updated annually to ensure that the implemented practices effectively prevent recurrence and remain relevant to current circumstances.
